1. Introduction

• These Terms & Conditions ("Agreement") govern participation in the TDVG Ambassadors Program ("Program") operated by TDVG Digital Ltd. ("Company"). 

• Participation in the Program is subject to TDVG's approval. TDVG reserves the right to accept or reject any individual as an Ambassador at its sole discretion.​​

• By joining the Program, participants ("Ambassadors") agree to these terms, including provisions on confidentiality, non-disclosure, personal data protection, and commission structure.​​

• Participation in the TDVG Ambassadors Program does not create any employment, agency, joint venture, or formal business partnership. Ambassadors act as independent cooperation partners or advisors and are not employees or legal representatives of TDVG. Neither party may bind or represent the other beyond the scope of this Agreement.

3. Confidentiality & Non-Disclosure Agreement (NDA)​

• All information shared between TDVG and Ambassadors, including but not limited to business strategies, client details, and commission structures, is strictly confidential.

• Ambassadors shall not disclose, share, or use confidential information for any purpose other than participating in the Program.

• Ambassadors agree not to disclose or discuss TDVG’s business, referrals, or program details with third parties unless expressly authorized in writing by TDVG.

• This confidentiality obligation remains in effect indefinitely, even after an Ambassador exits the Program.

4. Referral Commissions

• Ambassadors may introduce contacts ("Referrals") to TDVG through the designated submission process.

• Referral submissions must be made in good faith, with the intent to create meaningful business value for the referred party. Referrals made solely to collect fees without clear business context or relevance may be disqualified at TDVG's discretion.

• Referral is not automatically accepted into the Program. TDVG must formally review and approve the Referral before a commission agreement is confirmed.

• If TDVG formally accepts a Referral and agrees on commission terms, those terms will remain in effect and cannot be modified without mutual agreement.

• If TDVG declines a Referral, no commission or further obligation applies.

• The amount payable for qualified meetings will be specified in writing by TDVG at the time of Referral acceptance.

• A meeting must be attended by the referred party and deemed relevant and substantive by TDVG to qualify for payment.

• All Referrals must be pre-approved in writing by TDVG prior to any commission eligibility

5. Deal Commissions

• Payable for Referrals that result in closed business with TDVG.

• ​Deal commissions will be agreed upon in writing once the Referral enters an active sales process or commercial negotiation.

• The commission amount may be based on a fixed fee or on the value of the closed deal for the first year - and may be subject to a pre-agreed cap, unless otherwise specified in writing.

6. Payment Terms

• Commissions will be paid according to the agreed schedule and payment method (e.g., bank transfer).

• Payments for deal commissions may be split or deferred based on client payment terms or milestones.

• If a deal is significantly modified, canceled, or delayed, TDVG reserves the right to adjust or postpone the commission payout accordingly.

• Any disputes regarding commission eligibility or payout amounts shall be resolved at TDVG’s sole discretion, and its decision shall be final.

7. TDVG’s Discretion to Modify the Program​

• TDVG reserves the sole discretion to modify, pause, or terminate the Program at any time without prior notification. Changes may include, but are not limited to, commission structures, referral approval criteria, and Ambassador participation requirements.

• Grandfather Clause: Any Referral formally accepted before changes take effect will retain the originally agreed commission terms.

8. Compliance & Termination​

• Ambassadors must represent TDVG professionally and not engage in deceptive or unethical sales tactics.

• TDVG reserves the right to terminate an Ambassador’s participation at any time, with or without cause.

• Ambassadors may also voluntarily exit the Program, with all confidentiality obligations remaining in effect post-exit.

9. Governing Law & Dispute Resolution​

• This Agreement shall be governed by and construed under the laws of Cyprus.

• Any disputes arising from the Program shall first be attempted to be resolved through mutual negotiation.

• If unresolved, disputes shall be settled by arbitration in Cyprus.

10. Acceptance of Terms

• By participating in the TDVG Ambassadors Program, you acknowledge that you have read, understood, and agree to these Terms & Conditions.
